1. Overview

These Terms & Conditions ("Agreement") govern all services provided by Melissa Hubbard Web Design LLC ("Company," "we," "us," or "our") to the client ("Client," "you," or "your").

By engaging in services, submitting payment, or signing a proposal, you agree to be bound by these Terms.

2. Scope of Services

Melissa Hubbard Web Design LLC provides professional services including, but not limited to:

Website design and development
Branding and logo design
Marketing and promotional asset design
Digital strategy and consulting

All services will be outlined in a separate proposal, invoice, or written agreement. Any services requested outside of the agreed scope may incur additional fees.

3. Payment Terms
A non-refundable deposit is required to secure all projects.
Remaining balances are due according to the payment schedule outlined in your proposal or invoice.
Final deliverables will not be released until full payment has been received.
Late payments may result in project delays or suspension of services.

4. Refund Policy

Due to the custom nature of all work, all payments are non-refundable.

Once a project has begun, time, resources, and creative effort have been allocated and cannot be recovered.

5. Client Responsibilities

The Client agrees to:

Provide all necessary content, materials, and feedback in a timely manner
Ensure that all submitted materials (text, images, logos, etc.) are owned or properly licensed
Review and approve deliverables promptly

Delays in communication or content delivery may impact project timelines.

6. Revisions & Approval

Projects include a defined number of revisions as outlined in your proposal.

Additional revisions beyond the agreed scope may be billed at an hourly or fixed rate
Once final approval is given, any additional changes will be considered a new request and billed accordingly

7. Intellectual Property
Client Ownership

Upon full payment, the Client will own the final approved deliverables.

Company Rights

Melissa Hubbard Web Design LLC retains the right to:

Display completed work in portfolios, marketing materials, and social media
Use project work for promotional purposes
Third-Party Assets

Any third-party fonts, images, or software may be subject to separate licensing terms.

8. Use of Artificial Intelligence (AI) Tools

Melissa Hubbard Web Design LLC may utilize artificial intelligence (AI) tools in a limited and supportive capacity to assist with certain aspects of the project, such as research, ideation, or copy refinement.

All core creative work—including logo design, brand identity, and custom visual assets—is developed manually and is not generated by AI.

Any AI-assisted content is used selectively and is always reviewed, edited, and finalized by a human professional to ensure it aligns with the Client’s brand, voice, and project goals.

By engaging in services, the Client acknowledges that:

• AI tools may be used in a supplemental role within the workflow

• Final deliverables are custom-created, curated, and approved by Melissa Hubbard Web Design LLC

• AI is not used as a substitute for original design work or brand development

• While reasonable efforts are made to ensure originality, Melissa Hubbard Web Design LLC cannot guarantee absolute uniqueness in all elements

• Melissa Hubbard Web Design LLC shall not be held liable for claims related to similarities or originality.

Melissa Hubbard Web Design LLC reserves the right to determine the appropriate tools and methods used to complete each project while maintaining a high standard of quality and originality.

9. Project Timelines

Estimated timelines will be provided but are not guaranteed.

Delays may occur due to:

Client responsiveness
Scope changes
Technical issues or third-party platforms

Melissa Hubbard Web Design LLC is not liable for delays outside of its control.

10. Website Launch & Ongoing Maintenance

Once a website is completed and launched:

The Client assumes responsibility for ongoing maintenance, updates, and security unless enrolled in a maintenance plan
Melissa Hubbard Web Design LLC is not responsible for issues arising after project completion, including third-party platform updates or plugin conflicts

11. Third-Party Platforms & Integrations

Websites may integrate with third-party services (e.g., Wix, payment processors, booking tools).

Melissa Hubbard Web Design LLC is not responsible for:

Changes in third-party pricing, policies, or functionality
Downtime, outages, or technical issues related to external platforms

12. Limitation of Liability

To the fullest extent permitted by law, Melissa Hubbard Web Design LLC shall not be liable for:

Any indirect, incidental, or consequential damages
Loss of revenue, profits, or business opportunities
Issues related to website performance, security breaches, or third-party services
Claims related to content, including AI-assisted elements

The Client assumes full responsibility for the use and implementation of all deliverables.

13. Termination

Either party may terminate the project in writing.

All payments made are non-refundable
The Client is responsible for payment for all work completed up to the termination date

14. Confidentiality

Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project.

15. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

16. Changes to Terms

Melissa Hubbard Web Design LLC reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of any changes.
